If you are voting via the www.secureonlinevote.com website, you agree that any applicable written or execution requirements have been satisfied. The voting recommendations and options from the Information Circular will also appear on the online Electronic Ballot. If you submit multiple voting instructions online or by paper, your last received vote will be taken as your final voting submission.

Deadline for submitting your instructions:

To be valid, www.secureonlinevote.com must receive your Electronic Ballot at least 1 business day before the official proxy deposit date and time as stipulated in the Information Circular. The deposit date and time is typically 48 hours (excluding Saturdays, Sundays, and holidays) before the commencement of the meeting for which it is intended or any adjournment thereof. Any voting instructions received after the official deposit date and time may not be accepted by the tabulators. Your voting instructions will be recorded when they are received.

This Electronic Ballot will be deemed to be dated on the date and time that you submit your votes online.

To attend the meeting as an Appointee:

You have the right to appoint a proxyholder other than the individuals listed on the paper or Electronic Ballot by inserting the name of such proxy (who need not be a securityholder). If you want to attend the meeting, or designate another person to attend the meeting in your place, you may do so by recording your name or the name of your designate in the Appointee section of the Electronic Ballot. You or your designate will have the right to attend the meeting and vote in person. You, or your designate, must attend the meeting for your vote to be counted. When you or your designate arrive at the meeting, please register with the scrutineer.

By submitting an Electronic Ballot, you acknowledge that:

you have read and understood all instructions;
you are authorized to provide the voting instructions;
you are the beneficial or registered owner of the listed securities;
you agree to have the listed appointee(s) vote on your behalf, or, the person whose name you have entered will be attending the meeting on your behalf;
this Electronic Ballot revokes any and all previous votes executed by you in respect of the meeting;
without limiting the generality of the foregoing, your proxy shall have discretionary authority to act and vote in accordance with his or her best judgement concerning amendments or variations to matters identified in the notice of the meeting and other matters which may properly come before the meeting or any adjournment thereof.

Form of Proxy – Registered Holders:

The proxy is solicited for use at the meeting of securityholders to be held at the date and time listed in the Information Circular as well as on the secureonlinevote.com website. In the event of any information discrepancies, the information circular shall be taken as the source for correct information.

If you do not plan to attend the meeting to vote in person, please provide your voting instructions by completing either the paper or Electronic Proxy Ballot. The listed appointee(s) will vote on your behalf according to the voting instructions you provide. The securities represented by this Electronic Proxy Ballot will be voted as directed. Where no choice is specified, this Electronic Proxy Ballot will confer discretionary authority and will be voted as recommended in the information circular.

Voting Instruction Form – Non-Registered Holders:

The Reporting Entity is sending the meeting materials directly to non-registered shareholders whose shares are registered in the name of a dealer or other intermediary. Please note, all non-registered shareholders names, addresses and information about their holdings have been obtained in a manner consistent with applicable securities regulations.

Your shares can be voted only by your Intermediary, in accordance with your written instructions. Please complete and return your voting instructions promptly.
